Terms of Service

1. Acceptance of Terms

By accessing or using the Great Point Capital, LLC ("Great Point," "GPC," "we," "us," or "our") website, trading platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Great Point Capital, LLC is a registered broker-dealer and member of FINRA and SIPC. Our Services include, but are not limited to:

• Brokerage and trading services for equities, options, and other securities;
• Direct market access and electronic trading platforms;
• Capital introduction and professional trader sponsorship;
• Market data, analytics, and related technology services;
• Educational resources and market commentary.

3. Account Eligibility & Registration

To open an account or use certain Services, you must:

• Be at least 18 years of age;
• Provide accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information;
• Meet any minimum financial requirements or suitability standards applicable to your account type;
• Not be subject to any legal or regulatory restrictions that would prohibit your use of the Services.

GPC reserves the right to reject any application or terminate any account at its sole discretion, subject to applicable laws and regulations.

4. Trading Risks & Disclaimers

Risk Acknowledgment. Trading in securities involves substantial risk of loss and is not suitable for all investors. You acknowledge and agree that:

• Past performance is not indicative of future results;
• You may sustain losses in excess of your initial deposit, particularly when trading on margin or engaging in short sales;
• Electronic trading systems may experience failures, delays, or disruptions;
• Market conditions, volatility, and liquidity may impact execution quality and pricing;
• GPC does not provide investment, legal, or tax advice. You are solely responsible for your trading decisions.

5. User Conduct & Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations;
• Engage in market manipulation, spoofing, layering, or other prohibited trading practices;
• Attempt to gain unauthorized access to any systems, accounts, or networks;
• Interfere with or disrupt the Services, servers, or networks;
• Use any automated means (bots, scrapers, etc.) to access or collect data without express written consent;
• Misrepresent your identity, qualifications, or affiliations;
• Share your account credentials or allow unauthorized access to your account.

6. Intellectual Property

All content, trademarks, logos, software, technology, and materials available through the Services are the property of Great Point Capital, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

7. Third-Party Services & Links

The Services may contain links to or integrate with third-party websites, platforms, or services. GPC does not endorse and is not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

8. Limitation of Liability

To the maximum extent permitted by law, Great Point Capital, LLC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, trading losses, or data loss, arising from your use of the Services, even if advised of the possibility of such damages. GPC's total liability shall not exceed the fees paid by you to GPC during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Great Point Capital, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Notice, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as described in the Privacy Notice.

11. Modifications to Terms

GPC reserves the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cease using the Services.

12. Termination

GPC may terminate or suspend your access to the Services, with or without cause, at any time and without prior notice, including for:

• Violation of these Terms or any applicable laws or regulations;
• Fraudulent, abusive, or illegal activity;
• Failure to meet account minimums or margin requirements;
• Regulatory or legal requirements;
• Any other reason at GPC's sole discretion, subject to applicable law.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by FINRA in accordance with its rules and procedures. The arbitration shall take place in Chicago, Illinois. You acknowledge that you are waiving the right to a jury trial or to participate in a class action.

14. General Provisions

• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver. GPC's failure to enforce any right or provision shall not constitute a waiver of future enforcement.
• Entire Agreement. These Terms, together with our Privacy Notice and any applicable account agreements, constitute the entire agreement between you and GPC regarding the Services.
• Assignment. You may not assign your rights under these Terms without GPC's prior written consent. GPC may assign its rights at any time.
• Survival. Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination.
